01Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and D&A SPED M DOO ("Company", "we", "our", "us"), a company registered in Montenegro. By accessing or using any of our applications, websites, or services (collectively, "Services"), you agree to be bound by these Terms. If you disagree with any part of these Terms, you must not use our Services.

02Eligibility

You must be at least 16 years of age (or the applicable age of majority in your jurisdiction) to use our Services. By using our Services, you represent and warrant that you meet this eligibility requirement. If you are using our Services on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

03Description of Services

D&A SPED M DOO provides iOS application development services and publishes mobile applications on the Apple App Store. Our Services include but are not limited to:

• Custom iOS application design and development
• UI/UX design and prototyping
• API integration and backend connectivity
• App Store optimization and submission
• Application maintenance, updates, and technical support
• Technical consulting and project planning

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice.

04User Accounts

Some of our applications may require you to create an account. You are responsible for maintaining the confidentiality of your account credentials, for all activities that occur under your account, and for notifying us immediately of any unauthorized use. We reserve the right to suspend or terminate accounts that violate these Terms or are used for unauthorized purposes.

You may delete your account at any time by following the instructions on our User Data Deletion page.

05Intellectual Property Rights

5.1 Our Intellectual Property

All content, features, functionality, trademarks, trade names, logos, designs, source code, object code, algorithms, visual interfaces, graphics, and the overall "look and feel" of our Services are owned by D&A SPED M DOO and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

5.2 Client Work

For custom development projects, intellectual property ownership and licensing terms are governed by individual project agreements or statements of work executed between the Company and the client.

5.3 User Content

You retain ownership of any content you create or upload through our applications. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute such content solely for the purpose of operating and improving our Services.

06Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. Specifically, you agree not to:

• Use the Services in any way that violates applicable local, national, or international laws or regulations
• Attempt to reverse engineer, decompile, disassemble, or extract source code from any of our applications
• Interfere with, disrupt, or place undue burden on the Services or connected servers and networks
• Attempt to gain unauthorized access to any part of the Services, other user accounts, or any systems
• Use automated means (bots, scrapers, crawlers) to access the Services without our prior written consent
• Transmit viruses, malware, or other harmful computer code through the Services
• Collect or harvest personal information of other users without their consent
• Use the Services to send unsolicited commercial communications (spam)
• Impersonate or attempt to impersonate the Company, an employee, another user, or any other person or entity

07Payments and Subscriptions

7.1 Pricing

Fees for custom development services are determined on a project-by-project basis and set forth in individual project agreements. In-app purchases and subscriptions within our published applications are processed through Apple's App Store payment system.

7.2 Refunds

Refund policies for in-app purchases are governed by Apple's App Store policies. For custom development services, refund terms are specified in individual project agreements.

7.3 Taxes

You are responsible for any applicable taxes associated with your use of the Services, except where we are legally required to collect such taxes.

08Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

09Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL D&A SPED M DOO, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED EUROS (€100), WHICHEVER IS GREATER.

10Indemnification

You agree to defend, indemnify, and hold harmless D&A SPED M DOO and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in connection with your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

11Third-Party Services

Our Services may integrate with or contain links to third-party websites, services, or applications. We do not control and are not responsible for the content, privacy policies, or practices of third-party services. Your interactions with any third-party service are governed by that party's terms and policies.

12Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

13Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Montenegro, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Montenegro. Before initiating formal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of at least thirty (30) days.

14Severability

If any provision of these Terms is held to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

15Entire Agreement

These Terms, together with our Privacy Policy and any applicable project agreements, constitute the entire agreement between you and D&A SPED M DOO regarding the Services and supersede all prior agreements and understandings.

16Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated by posting the revised Terms on our website and updating the "Last updated" date. Your continued use of the Services after changes are posted constitutes acceptance of the modified Terms.
